These General Terms and Conditions (the "Terms") govern your access to and use of NEXA, the platform operated by NEXA, based in 6900 Lugano, Switzerland ("NEXA", "we", "us"). By creating an account or otherwise using the platform you agree to these Terms. If you do not agree, you may not use the service.

1. Definitions

  • Platform — the NEXA website, applications and services.
  • User — any person accessing the Platform, whether registered or not.
  • Account — the personal area created upon registration, associated with one of the available roles: Talent, Pro, Studio, Elite.
  • Content — any text, image, file, idea or other material made available on the Platform by NEXA or by Users.

2. Account registration

To access certain features you must create an Account, providing accurate and up-to-date information. You are responsible for keeping your credentials secret and for any activity carried out through your Account. You must notify us at info@nexa-network.com if you suspect unauthorised access.

3. Roles and access

NEXA offers different roles (Talent, Pro, Studio, Elite). Each role unlocks a specific set of features. We reserve the right to add, modify or remove features and roles at any time, with reasonable notice when changes materially affect users.

4. Acceptable use

By using the Platform, you agree NOT to:

  • upload or share content that is unlawful, defamatory, infringing, harassing or otherwise objectionable;
  • impersonate any person or entity, or misrepresent your identity or affiliation;
  • interfere with or attempt to compromise the security or integrity of the Platform;
  • use the Platform to send spam or unsolicited communications;
  • scrape, copy or republish Platform content without our written authorisation;
  • use the Platform in violation of any applicable law or regulation.

We may suspend or terminate Accounts that violate these rules, with or without prior notice depending on the severity of the breach.

5. User content

You retain ownership of the Content you publish through the Platform. By uploading Content you grant NEXA a non-exclusive, worldwide, royalty-free licence to host, display, reproduce and distribute that Content as necessary to operate and promote the Platform. You declare that you hold all the rights necessary to grant such licence.

6. Intellectual property

The Platform — including its design, source code, brand, logos and editorial content produced by NEXA — is protected by intellectual property law. No right or licence over our intellectual property is granted to you, except for the limited right to use the Platform as intended.

7. Pricing and payments

Some features of the Platform may require a paid subscription or an in-app purchase. Where applicable, prices, billing cycles and refund conditions will be clearly indicated before purchase. Free features remain free unless we communicate otherwise in advance.

8. Suspension and termination

You may delete your Account at any time by writing to info@nexa-network.com. We may suspend or terminate your access to the Platform if you breach these Terms or applicable law, or if continued access poses a risk to other users or to the Platform itself.

9. Disclaimer of warranties

The Platform is provided "as is" and "as available". To the maximum extent permitted by law, NEXA makes no warranties, express or implied, regarding the operation of the Platform, the accuracy of Content, or the suitability of the Platform for a particular purpose.

10. Limitation of liability

To the maximum extent permitted by law, NEXA shall not be liable for any indirect, incidental, special or consequential damages, nor for loss of profits, data or opportunities arising from the use of or inability to use the Platform.

11. Changes to the Terms

We may update these Terms from time to time. The "Last updated" date at the top of this page reflects the most recent revision. Material changes will be communicated to you in advance. Continued use of the Platform after a change implies acceptance of the new Terms.

12. Governing law and jurisdiction

These Terms are governed by the laws of Switzerland. Any dispute arising out of or in connection with these Terms shall be submitted to the exclusive jurisdiction of the competent courts of Lugano, Switzerland, subject to mandatory consumer protection rules in the User's country of residence.
